Terms of Service & User Agreement

Welcome to Sumulux! These Terms of Service ("Terms", "Agreement") govern your access to and use of the website, mobile applications, digital wallets, virtual and physical payment card services, and related technology platforms (collectively, the "Sumulux Services") provided by Sumulux LLC, a company registered in Wyoming, USA ("Sumulux", "we", "us", or "our"). By registering for, accessing, or using any part of the Sumulux Services, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use our services.
1. Eligibility & User Representations
To be eligible to use the Sumulux Services, you must: be at least 18 years of age (or the legal age of majority in your jurisdiction); possess the legal authority and capacity to enter into a binding contractual agreement; reside in a jurisdiction where the provision and use of Sumulux Services are permitted by law; and not be listed on any international financial sanctions or restricted party lists (including OFAC, UN, EU, or UK sanctions).
2. Account Registration & Security
You must create an account ("Sumulux Account") by providing accurate, current, and complete personal information as prompted during the sign-up process. You are solely responsible for maintaining the confidentiality of your account credentials, PINs, passwords, and two-factor authentication (2FA) mechanisms, and accept full responsibility for all activities and transactions that occur under your account. You must immediately notify Sumulux Support if you suspect or become aware of any unauthorized access, loss of credentials, or security breach related to your account.
3. Identity Verification (KYC & AML Compliance)
To comply with international Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) regulations, we require all users to complete identity verification ("Know Your Customer" / KYC) prior to accessing wallet features or obtaining Virtual/Physical Cards. You agree to provide valid government-issued identification documents, proof of address, facial recognition/liveness verification, and any additional information requested by Sumulux or its banking/issuing partners. Sumulux reserves the right to re-verify your identity, request updated documentation, or audit transaction patterns at any time. Failure to complete requested verification within specified timeframes may result in account restriction or closure.
4. Sumulux Digital Wallet & P2P Transfers
The Sumulux Wallet allows you to deposit, hold, and manage funds for the purpose of initiating card transactions, paying service fees, or executing internal peer-to-peer (P2P) transfers. Funds held in your Sumulux Wallet do not constitute a checking or savings deposit and do not accrue interest; they are safeguarded in segregated accounts in accordance with regulatory requirements. Internal transfers between Sumulux users using Pay-IDs or registered identifiers are processed instantly. P2P transfers are final and non-reversible once confirmed by the sender, except upon explicit consent of the recipient or where required by law.
5. Virtual & Physical Card Issuance & Use
Payment cards (Virtual or Physical Visa/Mastercard) are issued via Sumulux's authorized Banking-as-a-Service (BaaS) and Card Issuing partners. All issued cards remain the legal property of the card issuing partner and are licensed to you for lawful transaction purposes only. Cards are subject to transaction limits, daily spending caps, and real-time authorization checks against your assigned wallet or card balance; transactions exceeding available limits will be declined. Transactions executed in currencies other than your account's base currency will be subject to applicable card network exchange rates plus any transparent conversion fees outlined in our Fee Schedule.
6. Fees and Charges
You agree to pay all applicable service fees, card issuing fees, top-up charges, maintenance fees, and transaction processing costs as set forth in the Sumulux Fee Schedule published on our platform. You authorize Sumulux to automatically deduct applicable fees directly from your Sumulux Wallet balance or associated card balances upon initiation of the service. Sumulux reserves the right to modify its Fee Schedule at any time by providing prior notice via our platform or email.
7. Prohibited Activities & Restrictions
You strictly agree NOT to use the Sumulux Services for: any illegal purpose, unlawful trade, or violation of local or international laws; purchasing or facilitating transactions involving illegal drugs, weapons, counterfeit goods, or prohibited adult material; unauthorized gambling, money laundering, pyramid schemes, or fraudulent activities; reselling, renting, sub-licensing, or providing access to your account or issued cards to unverified third parties; or using automated scripts, bots, or unauthorized API tools to manipulate or overload the Sumulux system.
8. Account Suspension, Termination & Seizure
You may close your Sumulux Account at any time by submitting a request to customer support and settling any outstanding financial obligations. Sumulux reserves the right to restrict, suspend, or permanently terminate your account immediately and without prior notice if: you breach any provision of these Terms or associated policies; we detect fraudulent, suspicious, or unauthorized account activity; it is required by court orders, law enforcement agencies, or regulatory bodies; or your account remains completely inactive for a period exceeding 90 consecutive days. Upon account termination, any remaining non-disputed funds will be returned to your verified external bank account, less applicable administrative and transfer fees, subject to AML/Sanctions clearance.
9. Intellectual Property Rights
All software, mobile applications, website designs, logos, trademarks, API integrations, and content associated with Sumulux are the exclusive intellectual property of Sumulux LLC or its licensors. You are granted a limited, non-transferable, non-exclusive license to use the platform solely for your personal or authorized professional business use in accordance with these Terms.
10. Limitation of Liability & Disclaimer of Warranties
Sumulux Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Sumulux is not liable for temporary service interruptions, network maintenance, terminal downtime, or payment processing failures caused by third-party card networks (Visa/Mastercard) or banking partners. To the maximum extent permitted by law, Sumulux LLC, its officers, directors, and partners shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.
11. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in Wyoming, USA, and you irrevocably submit to the jurisdiction of such courts.
